Mr. Rhodes represents corporate clients as general counsel. The corporations include hospital organizations, political subdivisions, and family businesses. In the healthcare area he is counsel to Baptist St. Anthonys Health System and its affiliates on corporate, tax and healthcare issues.

Mr. Rhodes assists the firm's public education practice. He served as a member of the Board of Directors of the Texas Association of School Boards Council of School Attorneys and served as president of the Council in 2004-2005.

Mr. Rhodes has been listed in The Bond Buyer's Municipal Marketplace, commonly know as The Red Book of nationally recognized bond counsel, since the fall of 2005.

Mr. Rhodes is active in agriculture, particularly in the sale and purchase of large dairy, farming and ranching operations. He has served as counsel in a number of dairy acquisitions. Mr. Rhodes represented the Doldersum family in the acquisition of the Wormont dairy facility in Lovington, New Mexico and their associated start-up issues in 2007, the Ceresagrar principals in the lease of the Scott City Dairy in 2007, the purchase by the Ceresagrar principals of the Cimarron Dairy near Cimarron, Kansas in July 2006, and the Geven family's purchase of assets from the Milk Palace Dairy Liquidating Trust in September 2005. Mr. Rhodes was a member of the seller's transaction team in the sale of Lone Star Dairy near Friona, Texas in August 2006. He has served as counsel to sellers in the auction of the 13,000-acre Carrizo Creek Land Co. farm in 1999 and in the auction of the 37,000-acre C. D. Shamburger Ranch in 2003.

Mr. Rhodes represents and works with Wagenvoort Advisors, L.L.C. and Wagenvoort Advies B.V. Wagenvoort and Underwood assist Dutch and Danish farmers as they consider United States investments.

Practice Concentration and Experience

Health Care

  • Merger of two surgical hospitals and the development of the governing documents for the post-closing company
  • The acquisition of a free-standing hospital
  • Negotiation of physician contracts, including recruitment agreements, on-call coverage agreements and agreements associated with practice acquisitions
  • Issues relating to the real property owned or leased by the healthcare system
  • Public finance issues for capital improvement

School Law

  • Counsel on issues associated with bond elections
  • Drafting and negotiating construction agreements including contracts using the design-build methodology
  • Resolution of employment issues, including those arising under chapter 21 of the Texas Education Code
  • Student removal and expulsion issues arising under chapter 37 of the Texas Education Code
  • Resolution of Open Meetings Act issues for Board of Trustees and Public Information Act requests that are received by independent school districts
  • Counsel regarding appropriate diligence prior to a lava

Agriculture

  • Acquisition and lease of dairy facilities and herds
  • 1031 exchange issues and land acquisition issues
  • Entity selection to enhance federal tax savings
  • Negotiation of loan agreements and the associated documentation
  • Planning and services associated with relocation and investment by international farmers
  • Farm program planning with an emphasis on direct and countercyclical payments
